Last updated: 1 January 2025
These Terms of Service (the “Terms”) govern your access to and use of the website aafinancesolutions.online and any professional business and consulting services supplied by A&A Finance Solutions Pty Ltd (ABN 51 703 624 757) of Melbourne VIC, Australia (“we”, “us”, “our”). By using this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.
1. Who we are
A&A Finance Solutions Pty Ltd (ABN 51 703 624 757) is an Australian company based in Melbourne VIC that provides professional business and consulting services, including business advisory, financial analysis, planning support and related consulting work. References in these Terms to “services” mean the services described on our Services page, as further defined in any engagement, proposal or statement of work agreed between you and us.
2. Quotes, engagement and scope
- Any quotation or proposal provided by us is valid for 30 days from the date of issue unless otherwise stated in writing.
- You may request a quotation via our Request a Quote page or by contacting us through the Contact page.
- An engagement begins only when we confirm acceptance in writing, including the agreed scope, deliverables, timelines and fees.
- Work outside the agreed scope may require a revised quote or additional fees, which we will discuss with you before proceeding.
- We will provide our services with reasonable care, skill and diligence, using suitably qualified personnel.
3. Fees, invoicing and payment
- Fees will be as set out in our written quote, proposal or engagement confirmation. Unless otherwise stated, all amounts are in Australian dollars (AUD) and exclude GST, which will be added where applicable.
- Invoices are payable within 14 days of the invoice date unless alternative terms are agreed in writing.
- If an invoice remains unpaid after the due date, we may suspend work and charge reasonable late-payment costs as permitted by law and as disclosed to you in advance.
- Disputed amounts should be raised promptly and in good faith; undisputed amounts remain payable by the due date.
4. Your responsibilities
- You agree to provide accurate, complete and timely information reasonably required for us to perform the services.
- You confirm that you have the right to share with us any documents, data or records you provide, and that their use for the engagement will not breach any law or third-party rights.
- You are responsible for decisions you make based on our advice. Our services are general business and consulting services and do not constitute licensed financial product advice, taxation advice or legal advice unless expressly agreed in writing.
5. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For services, you are entitled to a service supplied with due care and skill, supplied in a manner you can reasonably expect to achieve the results you communicated to us, and supplied within a reasonable time when there is no agreed timeframe. If we fail to meet a consumer guarantee, you may be entitled, at law, to a remedy such as re-supply of the services or a refund, and in some circumstances recovery of reasonably foreseeable losses.
6. Limitation of liability
To the fullest extent permitted by law, and except where liability cannot be excluded under the Australian Consumer Law or otherwise at law:
- we are not liable for indirect, special or consequential loss, loss of profit, loss of revenue or loss of business opportunity arising from the services or your use of this website; and
- our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you for the relevant services.
Where the Australian Consumer Law applies and our liability for a failure to comply with a consumer guarantee can be limited, our liability is limited, at our option, to re-supplying the services or the cost of re-supplying the services.
7. Intellectual property
- All content on this website, including text, layout and branding, is owned by or licensed to A&A Finance Solutions Pty Ltd and is protected by Australian and international copyright laws.
- You may view and print pages from this website for your own personal or internal business use. You must not reproduce, republish or commercially exploit our content without our prior written consent.
- Upon full payment, you own the final deliverables prepared specifically for you under an engagement. We retain ownership of our pre-existing methodologies, templates, tools and know-how, and we may retain a copy of deliverables for our records and quality assurance.
8. Confidentiality
Each party will keep confidential the other party’s non-public information disclosed in connection with an engagement and use it only for the purposes of that engagement. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law, and does not limit our ability to use general skills and knowledge acquired during the engagement.
9. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. By using this website or our services, you consent to the collection, use and disclosure of your information as described in that policy.
10. Suspension and termination
- Either party may terminate an engagement for convenience on 14 days’ written notice.
- Either party may terminate immediately if the other party commits a material breach that is not remedied within 7 days of written notice, or becomes insolvent.
- On termination, you remain liable for fees for work performed up to the termination date and any expenses reasonably incurred on your behalf.
11. Website content and availability
Content on this website is provided for general information only and does not constitute an offer or a complete statement of the services. We aim to keep the website accurate and available, but we do not guarantee it will be error-free or uninterrupted, and we may update, suspend or discontinue any part of it at any time.
12. Changes to these Terms
We may update these Terms from time to time. The current version will always be published on this page with a revised “last updated” date. Material changes affecting an existing engagement will be notified to you in writing.
13. General
- These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
- Our failure to enforce a right is not a waiver of that right.
- You must not assign your rights under these Terms without our prior written consent.
